Terms and Conditions for “Spooler Launch Pad”

 

Welcome to Spooler’s Free Podcast Production and Distribution Service, “Spooler Launch Pad” These Terms and Conditions (the “Terms”) outline the rules and regulations governing your use of our service, which enables you to create and distribute podcasts for free (the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

 

This is open to all citizens of India only.

 

All entries must be submitted https://47k14eaywb1.typeform.com/to/WW3RT2RE Entries submitted through any other medium/ mode would not be considered for evaluation.

 

Please note that the Podcast Name, logo design, and tagline must be original and should not violate any provision of the Indian Copyright Act, 1957

 

Evaluation Criteria

 

All the entries received by Spooler would be assessed for eligibility by the Spooler’s internal Committee.

 

Eligibility would be judged based on subject matter expertise, originality, social media reach, and technical excellence.

 

The decision of the internal Committee would be final and binding on all applicants and no clarifications would be issued to any participants for any of their decisions.

 

Use of the Service

 

You must be 18 years or older to use the Service. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You are responsible for all content you upload to the Service, including any podcasts or other media.

 

Non-Transferability: The service offered by Spooler is non-transferable and non-saleable. The applicant may not transfer, sell, or assign the service to any other person or entity, whether for profit or not, without the express written consent of Spooler.

 

Misuse: Any attempt by Applicant to transfer, sell, or assign the service without the express written consent of Spooler shall be considered a material breach of this Agreement. Spooler reserves the right to immediately terminate the service and seek all available legal remedies.

 

Eligibility

 

The service offered by Spooler is subject to eligibility criteria. Applicant must meet all eligibility criteria to receive the service. Any misrepresentation of eligibility or use of the service by an ineligible person or entity shall be considered a material breach of this Agreement.

 

Content Ownership

 

You and Spooler jointly retain ownership and intellectual property rights of all content you upload to the Service, including any podcasts or other media. By using the Service, you grant Spooler an exclusive, worldwide, royalty-free license to use, copy, distribute, monetize, and display your content solely to provide the Service to you. Spooler will not use your content for any other purpose without your consent.

 

Prohibited Content

 

You may not use the Service to create or distribute any content that is illegal, defamatory, threatening, pornographic, or otherwise objectionable. Spooler reserves the right to remove any content that violates these Terms or is otherwise deemed inappropriate by Spooler in its sole discretion.

 

Intellectual Property

 

Spooler respects the intellectual property rights of others, and we expect our users to do the same. You may not upload or distribute any content that infringes on the intellectual property rights of others. If Spooler receives a notice alleging that your content infringes on someone else’s intellectual property rights, we may remove your content following our Copyright Policy.

 

Privacy

 

Your privacy is important to us. We will not sell or share your personal information with third parties without your consent. Please refer to our Privacy Policy for more information on how we collect, use, and protect your personal information.

 

Limitation of Liability

 

Spooler is not liable for any damages, including but not limited to direct, indirect, incidental, punitive, and consequential damages, arising out of or in connection with your use of the Service. This includes damages resulting from lost data, lost profits, or business interruption. Spooler’s liability to you for any claim arising out of these Terms or your use of the Service is limited to the amount you paid us, if any, for use of the Service.

 

Indemnification

 

You agree to indemnify and hold harmless Spooler, its affiliates, officers, directors, employees, and agents, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another.

 

Termination

 

Spooler reserves the right to terminate your access to the Service at any time, without notice, for any reason or no reason, including if you violate these Terms. Upon termination, you must immediately cease using the Service.

Modifications to Terms

 

Spooler reserves the right to modify these Terms at any time, in its sole discretion. If we make material changes to these Terms, we will notify you by posting a notice on the Service or by sending you an email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

 

Terms and Conditions for Joint Intellectual Property Rights

 

The following terms and conditions (the “Terms”) govern the joint ownership of intellectual property rights (the “IP”) between two or more parties (the “Owners”). These Terms apply to all Owners of the IP and govern the relationship between them. By becoming an Owner of the IP, you agree to be bound by these Terms. If you do not agree to these Terms, you may not become an Owner of the IP.

 

Joint Ownership

 

The Owners of the IP agree that they will jointly own the IP and that their ownership interest in the IP will be equal unless otherwise agreed to in writing. Each Owner has the right to use the IP for their purposes, but only under these Terms.

 

Licences

 

Each Owner of the IP grants an exclusive, royalty-free licence to the other Owners to use the IP following these Terms. Each Owner may grant additional licences to third parties to use the IP, provided that such licences are consistent with these Terms.

 

Decision Making

 

All decisions related to the IP must be made jointly by the Owners, and each Owner has an equal vote. If the Owners cannot agree on a decision related to the IP, a third-party mediator may be engaged to help resolve the dispute.

 

Protection of the IP

 

Each Owner of the IP is responsible for taking appropriate measures to protect the IP from infringement, misappropriation, or other unauthorised use. If any Owner becomes aware of any infringement, misappropriation, or other unauthorised use of the IP, they must notify the other Owners immediately.

 

Entire Agreement

 

These Terms constitute the entire agreement between the Owners concerning the joint ownership of the IP and supersede all prior agreements and understandings, whether written or oral, between the Owners for the IP. These Terms may only be amended in writing and signed by all Owners of the IP.

 

Governing Law

 

Any dispute or differences pertaining to this Agreement shall be resolved through negotiations, and all such legal proceedings to be conducted in Bengaluru and Courts at Bengaluru shall have exclusive jurisdiction over the dispute or differences.

 

You acknowledge that you have read and understand these Terms and agree to be bound by them.
